Terms and conditions
- Scope of application — order of priority
1.1. These General Terms and Conditions (hereinafter "GTC") govern all sales of products and services by RED VISION Sàrl (hereinafter "RED VISION").
1.2. By placing an order, the client (hereinafter "Client") accepts these GTC without reservation and waives their own general conditions, even if subsequent.
1.3. In case of conflict, the order of priority is: (1) accepted quote/purchase order/contract > (2) signed annexes > (3) GTC.
1.4. Any derogation is only valid if agreed in writing before the order.
- Quote — order — start of work
2.1. Unless otherwise stated, a quote is valid for 30 days.
2.2. An order is deemed firm as soon as the quote/contract is accepted by any means (oral, written, messaging apps, email, or accounting system).
2.3. Any work not expressly included in the quote (additional services, additional versions, additional captures, etc.) will be subject to a supplementary quote or time-based billing.
- Client's duty of cooperation
3.1. The Client provides in due time: brief, content, brand guidelines, access (social/ads/CRM accounts), authorisations (locations/persons), a single point of contact, and approvals.
3.2. Any delay in transmission/approval by the Client may result in schedule slippage, without RED VISION's liability.
- Prices — fees — travel
4.1. Prices are indicated in CHF (the mention HT does not include VAT; the Client must always refer to the written quote, or the TTC price — VAT included — is final).
4.2. External costs (locations, licences, talent, travel outside the scope, accommodation, assistants, etc.) are invoiced in addition unless otherwise agreed.
4.3. Travel: CHF 0.75/km, calculated from the operational address (Route du Bois 55B, 1024 Écublens) to the work location, round trip, or according to the agreed route if multiple points.
- Deposit
5.1. The Client pays a deposit of 30% to 50% of the quote amount before work begins, unless otherwise agreed in writing.
5.2. The deposit confirms the reservation of dates/resources and is non-refundable in case of cancellation outside legally provided cases.
- Payment — due date — late payment
6.1. Invoices are payable within 30 days from the invoice date, unless another deadline is stated on the invoice or quote.
6.2. In case of late payment, RED VISION may claim late interest at the legal rate of 5% as well as reminder fees of CHF 50.-.
6.3. RED VISION may suspend services/deliveries in case of late payment, without prejudice to its rights.
6.4. If a payment remains unpaid more than sixty (60) days after the due date, RED VISION reserves the right to engage a debt collection agency. All legal costs will be borne by the Client.
- Recurring services — term — termination
7.1. For monthly contracts, the Client must respect a 3-month notice period (unless otherwise stated in the contract).
7.2. For any contract based on a period (e.g. 3 months), the Client undertakes to pay the full period agreed, even if the services were provided ahead of schedule.
- Cancellation — postponement
8.1. By signing a quote, the Client commits to pay the full amount.
8.2. Cancellation:
• 30 days or more: 50% of the quote (administrative compensation)
• between 30 and 7 days: 75% of the quote
• less than 7 days: 100% of the quote
8.3. Costs incurred and non-cancellable (locations, talent, travel, etc.) remain due in any event.
8.4. Postponement: possible subject to availability. Replanning fees may apply if the postponement entails additional costs/time.
- Deadlines — delivery — approval — revisions (critical clause)
9.1. RED VISION commits to its best efforts to meet agreed deadlines; this is a best-efforts obligation, not a results-based obligation.
9.2. Unless otherwise stated, one round of revisions is included in the price (article 9.4).
9.3. The Client has 5 business days after delivery of a version (V1/V2) to provide consolidated feedback. Without feedback within this period, the version is deemed approved.
9.4. Any additional revision, or any request outside the scope (new brief, change of creative direction, addition of scenes, new formats not initially planned, etc.) is invoiced at the agreed hourly rate on an hourly basis, with a minimum of 1 hour for reopening the project and making the necessary adjustments.
9.5. Any significant modification is treated as new work and may require up to 7 business days (or more depending on workload), without guarantee of accelerated delivery.
- Complaints
10.1. To be admissible, any complaint must be notified in writing to RED VISION within 7 days of delivery of the service.
- Advertising / Ads / Community management (if applicable) — no performance guarantee
11.1. The Client provides the necessary access (Meta/Google/TikTok/LinkedIn, Business Manager, Pixels, accounts, etc.).
11.2. Advertising budgets (media spend) are borne by the Client and paid from the Client's own accounts, unless a written re-invoicing agreement exists.
11.3. RED VISION is not responsible for refusals, limitations, account suspensions, algorithm changes, or platform decisions.
11.4. KPIs (leads, sales, reach, etc.) depend on external factors; RED VISION is bound by a best-efforts obligation and does not guarantee any result.
- Payment security and cyber risks
RED VISION Sàrl cannot be held responsible for any damage, direct or indirect, resulting from fraudulent acts, phishing attempts, computer hacking, unauthorised access, diversion of data or means of payment, or any other cyber attack affecting the Client or third parties. The Client remains solely responsible for the security of their systems, access credentials, passwords, means of payment and validation tools. In no event shall RED VISION Sàrl's liability be engaged for fraudulent operations carried out outside its direct control.
- Drone / FPV — weather — authorisations — safety
13.1. Drone/FPV services are subject to weather conditions, flight restrictions and the necessary authorisations.
13.2. The Client guarantees access to locations and obtains the authorisations of owners/managers.
13.3. RED VISION may interrupt/refuse a flight for safety or legal reasons; a postponement may be proposed subject to availability, with costs incurred remaining due.
- Copyright — usage licence (critical clause)
14.1. Unless expressly assigned in writing, RED VISION remains the owner of the copyright on the creations (images, videos, designs, montages, concepts).
14.2. After full payment, RED VISION grants the Client a non-exclusive usage licence, limited to the scope of the quote/contract (media, duration, territories, organic/paid usage).
14.3. Any use outside the scope (TV, cinema, resale, image bank, assignment to third parties, extended advertising, etc.) requires written agreement and may entail additional invoicing.
14.4. Music, voice-overs, third-party images/elements are subject to their own licences; the Client respects these licences.
- Image rights — locations — trademarks (critical clause)
15.1. It is the Client's responsibility to secure image rights of persons filmed/photographed, as well as authorisations of locations, trademarks, works, vehicles, etc.
15.2. RED VISION cannot be held responsible for the absence of authorisation or for claims from third parties.
- Reference / portfolio
16.1. Unless refused in writing by the Client at the time of signing, RED VISION reserves the right to use the created content for promotional purposes (portfolio, social media, website, contests, showreel).
- Storage — archives — raw footage
17.1. RED VISION reserves the right to delete raw files and projects within 1 month after final delivery.
17.2. If the Client wishes a copy of the raw files, they must request it within the week following final delivery.
17.3. Any restoration/archiving request beyond this period may be impossible or invoiced.
- Confidentiality
18.1. Each party undertakes to keep confidential non-public information received in the context of the engagement, except where legally required.
- Data protection
19.1. Each party complies with applicable legislation (notably the Swiss FADP).
19.2. The Client remains responsible for the data they collect via their platforms (forms, pixels, CRM) and for the information they provide to RED VISION.
- Subcontracting
20.1. RED VISION may engage subcontractors (camera operators, editors, motion designers, etc.) to perform all or part of the services.
- Liability — limitation (critical clause)
21.1. RED VISION is not responsible for any direct damage proven to result from gross or intentional fault, within legal limits.
21.2. RED VISION's total liability, for all causes combined, is capped at the amount effectively paid by the Client for the service concerned.
21.3. Excluded: loss of turnover, loss of operation, loss of opportunities, damage to image, indirect damage.
- Force majeure
22.1. In case of force majeure, RED VISION cannot be held responsible for delays or non-performance. Notably considered as force majeure: natural disasters, conflicts, strikes, interruption of public services, major outages, administrative restrictions.
- Withholding tax (foreign clients)
23.1. If a withholding tax applies under the Client's country legislation, it is paid by the Client to the tax authorities. The invoice is due to RED VISION in full.
- Software, subscriptions, third-party services
24.1. RED VISION is not responsible for the payment/management of third-party software or contracts (monthly/annual) if the Client terminates the contract with RED VISION; the Client takes over these obligations.
- Cyber insurance
25.1. Any cyber protection (insurance) is provided by the Client through their own coverage.
- Modification of the GTC — partial nullity
26.1. RED VISION reserves the right to modify the GTC. The new conditions apply to subsequent orders.
26.2. If a clause is held null, the others remain fully in force.
- Governing law — jurisdiction
27.1. The GTC are governed by Swiss law.
27.2. In case of dispute, the competent courts are those of the Canton of Vaud.
